The Sp-oil Collective and its affiliates and subsidiaries (collectively, “SP-OIL”, “we”, “us” or “our”) provides the content and services available on thespoilcollective.com and any other websites we operate, to you subject to the following terms and conditions, our Privacy Policy and other terms and conditions and policies which you may find throughout our Site in connection with certain functionality, features or promotions as well as customer service, all of which are deemed a part of and included within these terms and conditions (collectively, "Terms and Conditions"). By accessing or using the Site, you are acknowledging that you have read, understand and agree, without limitation or qualification, to be bound by these Terms and Conditions.

 
NOTICE: ARBITRATION AND CLASS ACTION WAIVER
These Terms and Conditions include provisions that affect how any claims or disputes between you and SP-OIL are resolved. Except in limited circumstances, you agree that any claims you have against SP-OIL will be resolved through binding and final arbitration on an individual basis. This means you may not bring a claim as a plaintiff or participate as a member in any class, collective, or representative action or proceeding. Please refer to the section titled “Disputes” for full details regarding your agreement to arbitrate any disputes with SP-OIL.

 
1. Privacy
We encourage you to review our Privacy Policy to learn more about our data collection, use, and disclosure practices. The Privacy Policy is available on our website.  

 
2. Products and Services for Personal Use
All products and services available on this Site, including any samples provided, are intended for personal use only. You may not sell, resell, or otherwise distribute any products, services, or samples you purchase or receive from us. We reserve the right, at our sole discretion and without prior notice, to cancel or limit the quantity of any order if we believe it may result in a violation of these Terms and Conditions.
 

3. Terms of Sale
The following terms govern all orders placed through this Site. By placing an order, you agree to these Terms and Conditions.
 
4. Processing
All products available for purchase on this Site are subject to availability. SP-OIL publications or listings may occasionally contain inaccuracies, omissions, or typographical errors, including those relating to pricing or product descriptions. SP-OIL is not responsible for such errors and reserves the right to correct them at any time without notice. We may also make changes or improvements to our products at any time.

Orders may only be placed by individuals who have reached the age of legal majority in their jurisdiction of residence. Payment is processed by SP-OIL’s independent third-party payment processor using the preferred payment method designated in your account. If your default payment method is declined, we may charge an alternative stored payment method. To change your payment method, please update your billing information in your account settings.

SP-OIL reserves the right, at its sole discretion and without notice, to cancel or refuse any order at any stage of processing — including after an order has been submitted or confirmed. Unless otherwise agreed, payment must be received prior to order acceptance. SP-OIL may, at its discretion, process payment and ship portions of an order separately.

Orders may be cancelled or modified for reasons including, but not limited to, product unavailability, pricing or description errors, or issues identified by our payment processor. If your order is cancelled in whole or in part, or if additional information is required, we will attempt to contact you promptly.

 
5. Pricing
You acknowledge that:
(i) prices displayed on this Site may differ from prices offered by third parties or other websites;
(ii) SP-OIL is under no obligation to disclose its costs, margins, or profits; and
(iii) prices listed on the Site may change at any time without notice.
All orders will be billed at the price in effect at the time of purchase. Applicable taxes will be added based on the delivery location. Products are available for personal, lawful use only; any commercial or unauthorized use is prohibited.

 
6. Returns
If you are not fully satisfied with your purchase, you may return eligible items in accordance with our Return Policy, available on our website www.thespoilcollective.com/Refundsandreturns. We are happy to process an exchange or issue a refund as outlined in that policy.
 
7. Quantity Limits

SP-OIL limits purchases to thirty (30) units of the same product and ninety (90) total products per order. We reserve the right, at our discretion, to impose further quantity restrictions, reject or cancel orders, and close accounts that we believe may be in violation of these Terms, applicable law, or SP-OIL’s interests.

8. Delivery

We will use commercially reasonable efforts to deliver your order promptly and within any stated timeframe. However, SP-OIL is not responsible for delivery delays beyond our control. In the event of a delay, we will notify you as soon as possible.
 
9. Fraud Prevention

To protect our customers and business, SP-OIL may share transaction-related information with reputable third-party verification services. This may include address verification to confirm that your billing address matches your payment method. SP-OIL reserves the right, in its discretion, to refuse shipment to certain addresses. If your order cannot be shipped, you will be notified and any charged amount will be refunded.

 
10. Discounts and Promotions
SP-OIL reserves the right to cancel any order and/or refuse to accept or honor any promotional code, discount, or offer that we believe to be fraudulent, improperly obtained, or used in violation of its intended purpose.
 

11. Accuracy of Information
We make every effort to ensure that product descriptions, colors, and other information on this Site are accurate and complete. However, to the extent permitted by law, SP-OIL does not warrant that such information is error-free, current, or entirely reliable.

 
12. Intellectual Property
All content and materials available on this Site, including its design, layout, and “look and feel,” as well as trademarks, logos, service marks, text, graphics, button icons, images, photos, videos, audio clips, data compilations, software, and the arrangement and compilation of such materials (collectively, the “Content”) are the property of SP-OIL, its affiliates, partners, or licensors. This Content is protected under Canadian and international laws, including copyright, trademark, and other intellectual property laws.

Except as expressly permitted under Section 8 or as required by applicable law, you may not use, reproduce, distribute, publish, copy, modify, sell, resell, or exploit any portion of the Site or Content for any purpose without prior written consent from SP-OIL. All rights not expressly granted are reserved by SP-OIL and its licensors.

 

13. Limited Licenses
Subject to these Terms and Conditions, SP-OIL grants you a limited, revocable, non-exclusive license to access and use the Site for personal purposes only. This license does not permit you to:

 

  1. Frame, mirror, or otherwise enclose any part of the Site;
     

  2. Republish, redistribute, transmit, sell, license, or download the Site or any Content, except as necessary to view the Site;
     

  3. Use the Site or any Content for commercial purposes or any purpose other than personal use;
     

  4. Modify, reverse engineer, or create derivative works from the Site or any Content;
     

  5. Collect account information or other data for yourself or others;
     

  6. Use meta tags or hidden text incorporating any Content; or
     

  7. Use robots, spiders, crawlers, or other automated tools, or take any actions that place an unreasonable load on SP-OIL’s infrastructure.
     

You must retain all proprietary notices without modification, as they appear on the Site or within its Content.
Any unauthorized use of the Site or Content immediately terminates this limited license, without limiting SP-OIL’s rights or remedies under these Terms or applicable law.
 
14. Your Obligations and Responsibilities
By accessing or using the Site, you agree to comply with these Terms and Conditions and any specific instructions or warnings posted on the Site. You must act in good faith, in accordance with applicable law, and in a manner consistent with customary standards of conduct.
You may not modify, alter, or impair the Site, any Content, or the services provided through the Site in any way. You are prohibited from violating or attempting to violate the security of the Site, including, without limitation, by:
 

  1. Accessing data or accounts that you are not authorized to access;
     

  2. Probing, scanning, or testing the vulnerability of any system or network without proper authorization;
     

  3. Using the Site or any portion thereof without authorization; or
     

  4. Introducing viruses, Trojan horses, worms, logic bombs, or other malicious or harmful code.
     

You further agree not to use the Site to:
 

  1. Violate any applicable law or regulation;
     

  2. Engage in conduct that restricts or inhibits others’ use or enjoyment of the Site, or that may harm SP-OIL or its users;
     

  3. Disable, overburden, damage, or impair the Site, or interfere with any other user’s access;
     

  4. Use any device, software, or routine that interferes with the proper functioning of the Site; or
     

  5. Otherwise attempt to interfere with the operation of the Site.
     

Without limiting any other provision of these Terms and Conditions, you agree that if you negligently or willfully breach these obligations, you will be liable for any losses or damages caused to SP-OIL, its partners, or licensors.
 
15. Your Account
If you choose to create an account on our Site, you will be asked to provide an email address or username and a password. You are solely responsible for maintaining the confidentiality of your login credentials and for restricting access to your device. You agree that all information you provide during registration, and at any time thereafter, will be accurate, complete, and current.

You are the sole authorized user of your account and accept full responsibility for all activities that occur under your username or password. If you access or use the Site on behalf of another person, you represent that you are authorized to bind that individual to these Terms and Conditions. If you are not authorized, you agree to be personally bound by these Terms and liable for any resulting misuse or harm.

SP-OIL reserves the right, in its sole discretion and without prior notice, to refuse service, suspend, or terminate accounts if these Terms and Conditions are violated or if such action is deemed to be in SP-OIL’s best interests.

If you believe your account has been compromised, you must notify us immediately using the contact information provided in Section 21. SP-OIL will not be liable for any losses, damages, or expenses arising from unauthorized account use, whether or not you have notified us. You understand and agree that SP-OIL may require additional information to verify your identity and help ensure the security of your account.

16. Third-Party Links
The Site may contain links to external websites or pages operated by third parties. These links are provided for your convenience only and do not constitute an endorsement by SP-OIL, its affiliates, or partners of any referenced content, products, services, or suppliers.
SP-OIL is not responsible or liable for the content, accuracy, policies, or practices of any third-party websites linked to or from this Site. Your access to and use of such websites is at your own risk. We make no representations or warranties regarding, and do not assume responsibility for, the actions, content, or products of any third parties, including their privacy policies and terms of use.
We encourage you to carefully review the terms and privacy policies of all external websites that you visit.
 
17. Special Features, Functionality, and Events
From time to time, the Site may offer special features, functionality, or events — such as contests, sweepstakes, or exclusive promotions. These offerings may:

(a) be governed by additional or separate terms, rules, or policies that apply in place of, or in addition to, these Terms and Conditions; and
(b) be provided either by SP-OIL or by third parties.

If applicable, you will be notified of any additional or different terms, and by choosing to participate in or use such offerings, you agree to be bound by those terms, rules, or policies.
 
18. User Content
When you submit, upload, post, email, or otherwise make available any data, text, images, videos, audio, graphics, or other materials (“User Content”) on the Site, you are solely responsible for that content. Likewise, all third parties are solely responsible for the User Content they provide.

You agree not to upload, post, or share any User Content that:
 

  1. Is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, vulgar, pornographic, invasive of privacy, hateful, or otherwise objectionable;
     

  2. Encourages conduct that constitutes a criminal offense, gives rise to civil liability, or violates any law;
     

  3. You do not have the legal right to make available, including through contractual or fiduciary obligations;
     

  4. Is false, misleading, or deceptive;
     

  5. Is provided in exchange for compensation or other consideration from a third party;
     

  6. Infringes any copyright, trademark, trade secret, patent, or other proprietary right; or
     

  7. Contains viruses, malware, or any other code intended to disrupt, damage, or interfere with systems, data, or operations.
     

You also agree not to:
 

  • Transmit any unsolicited or unauthorized advertising, promotional materials, spam, or chain messages;
     

  • Impersonate another person or entity, or misrepresent your affiliation;
     

  • Harass, stalk, harm, or encourage harm to any person, including minors;
     

  • Forge headers or manipulate identifiers to disguise the origin of content;
     

  • Violate any applicable local, national, or international law; or
     

  • Collect or store personal information about other users.
     

SP-OIL does not endorse, control, or guarantee the accuracy, quality, or integrity of any User Content posted on the Site. By using the Site, you acknowledge that you may encounter content that you find offensive or objectionable. SP-OIL will not be liable for any User Content, including errors, omissions, or any loss or damage arising from its use.

SP-OIL reserves the right, but not the obligation, to review, edit, refuse, or remove any User Content at its sole discretion. We may remove content that violates these Terms or is otherwise deemed inappropriate, and we reserve the right to suspend or terminate accounts without prior notice for violations or infringements of the rights of others.
 
19. Copyright Complaints
SP-OIL respects the intellectual property rights of others and expects users of our Site to do the same. The Digital Millennium Copyright Act of 1998 (DMCA) provides a legal process for copyright owners who believe that material appearing online infringes their rights under U.S. copyright law.

If you believe, in good faith, that content available on the Site infringes your copyright, you (or your authorized agent) may submit a written Notification of Claimed Infringement requesting that the material be removed or access to it be restricted. Your notice must include the following details:
 

  1. A physical or electronic signature of the person authorized to act on behalf of the copyright owner;
     

  2. Identification of the copyrighted work claimed to have been infringed (or, if multiple works are involved, a representative list of such works);
     

  3. Identification of the specific material or link alleged to be infringing, and information reasonably sufficient to allow SP-OIL to locate the material on the Site;
     

  4. Your name, address, telephone number, and email address;
     

  5. A statement that you have a good faith belief that the disputed use of the material is not authorized by the copyright owner, its agent, or the law; and
     

  6. A statement that the information in your notice is accurate, and under penalty of perjury, that you are authorized to act on behalf of the copyright owner.

 
20. California
Under Cal. Civ. Code §1789.3, California residents may report complaints about our Site to the Complaint Assistance Unit of the Division of Consumer Services of the Department of Consumer Affairs by contacting them at 1625 North Market Blvd., Suite N 112 Sacramento, CA 95834, or by telephone at (800) 952-5210. SP-OIL does not impose any charges for use of the Site.
 
21. Representations and Warranties; Limitation of Liability
SP-OIL does not represent or warrant that access to or use of the Site will be uninterrupted, secure, or error-free, or that any defects will be corrected. The Site and all content, information, and materials made available through it are provided on an “as is” and “as available” basis. We make no representations or warranties of any kind, express or implied, regarding the Site or its contents, including but not limited to any warranties of merchantability, non-infringement, or fitness for a particular purpose, except where such warranties cannot be lawfully excluded.

To the fullest extent permitted by applicable law, SP-OIL and its affiliates, partners, and licensors shall not be liable, whether in contract, tort (including negligence), or otherwise, for any of the following:

(a) interruptions of business;
(b) delays, failures, or interruptions in access to the Site;
(c) data non-delivery, misdelivery, corruption, destruction, or other modification;
(d) loss or damage resulting from links to or from third-party websites;
(e) viruses, system failures, or other technological malfunctions that may occur in connection with your use of the Site;
(f) inaccuracies or omissions in any content; or
(g) events or circumstances beyond our reasonable control.

To the maximum extent permitted by law, SP-OIL shall not be liable for any indirect, incidental, special, punitive, or consequential damages of any kind (including, without limitation, loss of profits, revenue, or data) arising out of or in connection with your use of the Site, even if we have been advised of the possibility of such damages. In no event shall our total aggregate liability exceed one hundred Canadian dollars (CAD $100.00).

You agree that any claim or action arising out of or related to your use of the Site or these Terms and Conditions must be filed within one (1) year after the cause of action arises, or such claim or action shall be permanently barred.
 
22. Indemnification
You agree to defend, indemnify, and hold harmless SP-OIL, its affiliates, and their respective officers, directors, employees, agents, and representatives from and against any and all losses, damages, liabilities, expenses, and costs (including reasonable legal fees) arising out of or in connection with:

(a) your use or misuse of the Site;
(b) any violation of these Terms and Conditions; or
(c) any claim by a third party resulting from your actions or omissions in relation to the Site.
This obligation will survive the termination of your access to or use of the Site. Termination does not affect either party’s rights or obligations that have accrued prior to such termination.
 
23. Disputes

Agreement to Arbitrate
As a condition of your use of this Site, you and SP-OIL (collectively, the “Parties”) agree to resolve any and all disputes, claims, or controversies that either Party may have against the other (collectively, “Covered Disputes”) through final and binding arbitration, rather than in court, except as expressly provided below (this “Arbitration Agreement”).

This means that arbitration will be the sole and exclusive means for resolving any Covered Dispute between the Parties, regardless of when it arose or the nature of the claim.

Scope of Covered Disputes
“Covered Disputes” include any and all disputes or claims arising out of or relating to these Terms and Conditions, your use of the Site, or your relationship with SP-OIL. This includes, without limitation, claims under contract, tort, statute, regulation, or common law, and any matters arising under international or privacy-related laws (such as the EU General Data Protection Regulation (GDPR) or the California Consumer Privacy Act (CCPA).

However, Covered Disputes do not include claims or disputes involving the actual or threatened violation of SP-OIL’s intellectual property rights, or those of its affiliates, partners, or licensors. For such matters, SP-OIL may seek injunctive or other appropriate relief in any court of competent jurisdiction, and you consent to such jurisdiction and venue.

Arbitration Rules and Procedures
Arbitration shall be administered under the National Arbitration Rules of the ADR Institute of Canada, Inc. (the “ADR Institute”) in effect at the time the dispute arises. The arbitrator—not any court—shall have the exclusive authority to resolve all issues related to the dispute, including questions regarding arbitrability, timeliness, procedures, and the interpretation or enforceability of this Arbitration Agreement.
All arbitration decisions are final and binding, and may be entered as a judgment in any court of competent jurisdiction.

Selection and Authority of the Arbitrator
The arbitrator shall be selected in accordance with the ADR Institute’s rules. To the fullest extent permitted by law, the arbitrator shall have the authority to grant any remedy or relief available under applicable law and shall interpret and apply these Terms and Conditions in accordance with their plain meaning and intent.

If any portion of this Arbitration Agreement is found unenforceable, the remaining provisions shall remain in full force and effect.

Class and Collective Action Waiver
All Covered Disputes must be brought on an individual basis only. Neither you nor SP-OIL shall bring or participate in any class, collective, representative, consolidated, or joint action in arbitration or otherwise.

The arbitrator has no authority to consolidate claims or to conduct arbitration on a class or representative basis. By entering into this Arbitration Agreement, both Parties waive the right to participate in any class or collective action against the other.
 
Fees and Awards
Each Party shall bear its own legal fees and costs, including attorneys’ and expert witness fees, unless otherwise provided by applicable law or determined by the arbitrator. The arbitrator shall issue a written award including findings of fact and conclusions of law. Either Party may request a transcript or recording of the proceedings at their own expense.

Electronic Notices and Communications
You consent to receive all communications, notices, disclosures, and agreements (collectively, “Notices”) electronically from SP-OIL, including via email or by posting them on the Site. These electronic communications satisfy any legal requirement that such notices be in writing.

If you withdraw your consent to receive Notices electronically, you must notify SP-OIL using the contact method described in Section 21 and discontinue use of the Site. In that event, all rights granted to you under these Terms and Conditions—including the limited licenses described in Section 8—will automatically terminate.

Please note that your consent to receive Notices electronically is separate from your marketing communication preferences. Information about marketing communications is provided in our Privacy Policy.
 
24. General
These Terms and Conditions represent the entire agreement between you and SP-OIL regarding your use of the Site and supersede all prior or contemporaneous proposals, communications, and agreements—whether written or oral—concerning the same subject matter.
All rights and obligations arising from these Terms and Conditions, and any dispute related to your use of the Site, shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, as if these Terms and Conditions were entered into and fully performed within Toronto, Ontario.

The Effective Date of these Terms and Conditions is indicated at the top of this page. SP-OIL reserves the right, in its sole discretion, to update or modify these Terms and Conditions at any time by posting the revised version on the Site. Changes take effect immediately upon posting. Your continued use of the Site following any such updates constitutes your acceptance of the revised Terms and Conditions. We encourage you to review this page regularly to stay informed of any updates.

Nothing in these Terms and Conditions shall be interpreted as creating any agency, partnership, joint venture, or other form of joint enterprise between you and SP-OIL. Our failure to enforce any provision of these Terms and Conditions does not waive our right to enforce it at a later time.

If any provision of these Terms and Conditions is determined to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, while preserving the intent of the original provision. The remaining provisions shall remain in full force and effect.
